根据《中华人民共和国律师法》及有关规定，甲方与乙方就聘请常年法律顾问事宜，经友好协商，订立如下合同条款：

A would like to retain B as it’s legal counsel, according to < Law on Legal Counsel of the P.R.C.>.Through consultation, the two parties hereby agree upon, and shall be bound by the following terms.

第一条 乙方接受聘请，指派律师 担任甲方的常年法律顾问。

Article 1, B will designate Mr. ,the lawyer employed by B, to work as A’s  permanent  legal

counsel.

第二条 常年法律顾问具体工作范围

Article 2, The legal counsel will provide the following services:

（一）日常法律事务

(1) Daily legal affairs
（1）,协助甲方处理生产、经营、管理和对外联系中的有关法律事务，例如税务等；提供法律意见；对外签发律师函。

2.1a, Assisting A to handle legal affairs related to production, business operation, management and external affairs, for example. Tax etc.; offering legal advice and issuing written legal opinion when necessary.

（2）、根据甲方需要，参与重大经济商务项目谈判，现场提供法律意见；列席企业的重大会议，并现场提供咨询。

2.1b, Participating in important economic and commercial project negotiation on A’s behalf ; attending important meeting and offering legal advice immediately.
（3）、起草、审查或修改甲方有关合同和法律文书。

2.1c, Drafting reviewing or modifying relevant contract and legal documents.
（4）、根据需要，提供与企业活动有关的法律信息。

2.1d, Providing necessary legal information related to A’s business activities.
（5）、协助甲方清理、建立健全各项规章制度、调整劳资关系，起草或修改企业的劳动合同。

2.1e, Assisting A to clean up and establish necessary rules and regulations ; assisting A to regulate the relations between the employer and the employees; drafting or modifying the labor contract on A’s behalf.

（6）、协助甲方组建并帮助管理其法律事务机构，并根据甲方经营方式与自身特点，对企业员工进行必要的法律知识教育和培训。

2.1f, Assisting A to set up and administrate the legal affairs division ; training employees with necessary legal knowledge according to the A’s manner on management.
（7）、为甲方商业秘密、商标权、专利权、著作权和专有经营权的保护提供法律建议；协助企业制定保密制度和保密协议。

2.1g, Offering legal advice on protecting the trade secret, trademark rights, patent rights and franchise ;assisting A to establish a system of maintaining secrecy and prepare agreement on security .
（8）、解决甲方外国雇员的法律问题。

2.1h. Assisting A’s foreign employee to settle down their legal affairs.

（二）代办非诉讼法律事务

2.2 Handling non-litigation affairs on A’s behalf
（1）、为甲方进行专项事实调查、资信调查，出具《法律意见书》。

2.2a, Investigating into special fact and capital credit of other enterprises, issuing written legal advice on those affairs.
